Profile & Practice Areas

Edward S. Gusky is the firm’s Real Estate Practice Group’s leader. Ed focuses his practice on all aspects of real estate law, including complex real estate transactions and financing. He represents both borrowers and lenders in sophisticated financial transactions, including multi-family residential properties, assisted living facilities, commercial shopping centers, industrial centers and office buildings in Michigan and throughout the nation. Ed’s extensive experience in real estate financing includes negotiating institutional and non-institutional joint ventures, mezzanine financing and traditional construction and permanent financing from traditional lenders, life insurance companies, and CMBS lenders. He represents both sellers and purchasers on developed and raw land projects, negotiates purchase agreements for properties to be held for development and syndication, and works with developers in establishing condominium associations. He assists both landlords and tenants in the leasing of commercial shopping centers and office developments, negotiating leases for office buildings, as well as strip and regional malls.

Additionally, Ed has extensive experience representing borrowers in connection with multifamily loans insured by HUD/FHA under Sections 221(d)(4), and 223(f) of the National Housing Act, as well as Section 232 Health Care Facilities Program. He has closed HUD/FHA loans in an aggregate principal amount in excess of $500,000,000. He has also represented buyers and sellers in the Transfer of Physical Assets (TPA) procedure.

Ed is also a member of the firm’s Lending and Finance Practice Group, specializing in:

Ed is also a member of the firm’s Mergers and Acquisitions and Corporate Services Practice Groups, with substantial experience in planning, negotiating and implementing various types of merger and acquisition transactions, representing both sellers and buyers, including lead counsel in deal in excess of $100,000,000. He also advises and assists clients in structuring, converting and liquidating corporations, partnerships, joint ventures and limited liability companies, including the development and negotiation of corporate and joint venture documents.

Ed is the co-author of the article entitled “Preparing a Commercial Real Estate Purchase Agreement” in the Michigan Bar Journal. He is also a panelist on the Institute of Continuing Legal Education (ICLE) webcast, “Handling Boundary Disputes.”
