Ed is also a member of the firm’s Mergers and Acquisitions and Corporate Services Practice Groups, with substantial experience in planning, negotiating and implementing various types of merger and acquisition transactions, representing both sellers and buyers. He also advises and assists clients in structuring, converting and liquidating corporations, partnerships, joint ventures and limited liability companies, including the development and negotiation of corporate and joint venture documents.

And as the Real Estate Practice Group’s leader, Ed focuses his practice on all aspects of real estate law, including complex real estate transactions and financing. He represents both borrowers and lenders in sophisticated financial transactions, including multi-family residential properties, commercial shopping centers and office buildings in Michigan and throughout the nation. Ed’s extensive experience in real estate financing includes negotiating institutional and non-institutional joint ventures, mezzanine financing and traditional construction and permanent financing. He represents both sellers and purchasers on developed and raw land projects, negotiates purchase agreements for properties to be held for development and syndication, and works with developers in establishing condominium associations. He assists clients in the leasing of commercial shopping centers and office developments, negotiating leases for office buildings, as well as strip and regional malls.

Additionally, Ed has extensive experience representing borrowers in connection with multifamily loans insured by HUD/FHA under Sections 221(d)(4), and 223(f) of the National Housing Act, as well as Section 232 Health Care Facilities Program. He has closed HUD/FHA loans in an aggregate principal amount in excess of $250,000,000. He has also represented buyers and sellers in the Transfer of Physical Assets (TPA) procedure.

Ed is the co-author of the article entitled “Preparing a Commercial Real Estate Purchase Agreement” in the Michigan Bar Journal.
