John P. (Jack) Ulrich, Jr. brings to his corporate practice clients a focus on export regulatory compliance, government contracting, structured finance, syndicated credit facilities, and mergers and acquisitions. Jack serves as outside General Counsel for an exporter of significant military equipment.

As a member of the firm’s Defense/Government Contracting and Regulatory Compliance Practice Group, Jack places special emphasis on foreign military sales and contracting with the Department of Defense, as well as assisting clients in satisfying the requirements of small business economic programs, such as service-disabled veteran-owned, HUB Zone and 8(a) entities.

He offers the firm’s clients substantial expertise in the government contracting process, from the request for quotation to post-bid debriefing to contract fulfillment to Federal Acquisition Regulations and Defense FAR Supplement compliance.

Jack also assists the firm’s clients with:

  • Establishing export compliance regimes
  • Compliance with International Traffic in Arms Regulations (ITAR)
  • Export Administration Regulations (EAR)
  • Anti-boycott regulations
  • Office of Foreign Asset Control regulations
  • Bureau of Alcohol, Tobacco and Firearms regulations
  • Foreign Corrupt Practices Act

In his work with the firm’s Lending and Finance Practice Group, Jack specializes in assisting lenders and borrowers in the area of structured finance. This work includes:

  • Origination of loans for the commercial mortgage-backed securities (CMBS) market, including retail, office, hospitality, multi-family, and mixed-use properties and tenancy-in-common (TIC) transactions
  • Asset backed securitizations
  • Real estate backed securitizations
  • Leveraged leases

He also advises financial institutions and closely held, entrepreneurial companies with:

  • Aircraft financing
  • Accounts receivable financing
  • Acquisition financing
  • Asset-based financing
  • Construction lending
  • Commercial real estate financing
  • Mezzanine financing (including attached warrants)

As a member of the firm’s Mergers and Acquisitions and Corporate Services Practice Groups, Jack has substantial experience in planning, negotiating and implementing various types of merger and acquisition transactions, representing both buyers and sellers, as well as recapitalizations.
