John P. (Jack) Ulrich, Jr., brings to his corporate practice clients a focus on mergers and acquisitions, credit facilities, export regulatory compliance, and organizational structuring and restructuring.

Jack has extensive experience in representing owners and suppliers in the automotive industry in drafting and negotiating upstream and downstream supply contracts, standard terms and conditions, and distribution agreements. He also assists clients with supply chain risk management, liability risk management, and other transactional matters.

He represents both buyers and sellers in planning, negotiating and implementing various types of merger and acquisition transactions (including asset sales, equity sales, and hybrid structures), as well as having experience in recapitalizations.

Jack’s real estate practice includes representing owners, operators, tenants, and developers of commercial real property, including multifamily housing projects, industrial facilities, condominiums, strip malls, and office buildings.

He also has substantial experience advising financial institutions and borrowers with the negotiation and structuring of credit facilities, including accounts receivable financing, acquisition financing, asset-based financing, construction lending, commercial real estate financing, mezzanine financing, subordinate debt financing, equipment leasing, letters of credit, loan syndications, mortgage banking, sales-leaseback transactions, secured commercial financing, synthetic lease transactions, and unsecured commercial financing.

Jack’s compliance practice focuses on establishing export compliance regimes for Kotz Sangster’s defense and aerospace clients, as well as managing their on-going operational compliance with International Traffic in Arms Regulations (ITAR), Export Administration Regulations (EAR), anti-boycott regulations, Office of Foreign Asset Control regulations, Bureau of Alcohol, Tobacco and Firearms regulations, and the Foreign Corrupt Practices Act.
