John P. (Jack) Ulrich, Jr. brings to his corporate practice clients a focus on export regulatory compliance, structured finance, syndicated credit facilities, and mergers and acquisitions. Jack serves as outside General Counsel for an exporter of significant military equipment.

As a member of the firm’s Defense/Government Contracting and Regulatory Compliance Practice Group, Jack assists the firm’s clients with:

  • Establishing export compliance regimes
  • Compliance with International Traffic in Arms Regulations (ITAR)
  • Export Administration Regulations (EAR)
  • Anti-boycott regulations
  • Office of Foreign Asset Control regulations
  • Bureau of Alcohol, Tobacco and Firearms regulations
  • Foreign Corrupt Practices Act

In his work with the firm’s Lending and Finance Practice Group, Jack specializes in assisting lenders and borrowers in the area of structured finance. This work includes:

  • Origination of loans for the commercial mortgage-backed securities (CMBS) market, including retail, office, hospitality, multi-family, and mixed-use properties and tenancy-in-common (TIC) transactions
  • Asset backed securitizations
  • Real estate backed securitizations
  • Leveraged leases

He also advises financial institutions and closely held, entrepreneurial companies with:

  • Aircraft financing
  • Accounts receivable financing
  • Acquisition financing
  • Asset-based financing
  • Construction lending
  • Commercial real estate financing
  • Mezzanine financing (including attached warrants)

As a member of the firm’s Mergers and Acquisitions and Corporate Services Practice Groups, Jack has substantial experience in planning, negotiating and implementing various types of merger and acquisition transactions, representing both buyers and sellers, as well as recapitalizations.

Jack represents lenders, developers, landlords, tenants and public and private corporations in all aspects of commercial Real Estate matters. The scope of his practice includes both local and multi-state transactions, and involves all aspects of:
